Who is a Company Secretary?

Company Secretaryship (CS) is a professional course conducted by Institute of Company Secretaries of India (ICSI). It includes a combination of Distance Learning (by correspondence) and training enabling students to qualify as Company Secretaries. ICSI is a premier national professional body established by Act of Parliament to develop and regulate the Profession of Company Secretaries. Company Secretaries are members of ICSI.


Roles and Responsibilities of a Company Secretary

A company secretary is considered as the backbone of company. Company secretary is acting as vital link between Board of Directors, Shareholders, Governments and Other Agencies. There are many roles a company secretary should do in a company. Some of them are advisor to the board of directors, responsible for all regulatory compliances, corporate planner and strategic manager, etc.


Educational Qualification Required

To become a company secretary one has to undergo three stages. They are Foundation Programme, Executive Programme and Professional Programme. Along with this the student should also do a practical training for about 15 months.


Skills and Knowledge Required

There are many skills required to be a company secretary. A company secretary must be capable of doing multi task. Must be good at numbers and understand complex and technical issues. A good oral and written communication skills are a must. A proficiency in English language is also required in this profession. Since the laws are changing regularly, they must update their knowledge regularly.


How to become a Company Secretary?

To become a company secretary one has to undergo three stages. They are Foundation Programme, Executive Programme and Professional Programme. Along with this the student should also do a practical training for about 15 months.

A student after 10+2 can join for Foundation Programme. If the student applying after passing the Graduation are exempted from attending Foundation Programme. They only need to clear two stages, Executive Programme and Professional Programme. All graduate students except Fine Arts are qualified for writing Executive Programme.

Professional Programme can be pursued only after clearing the Executive Programme of CS Course. A Student has to undergo 15 months Management Training in Companies sponsored by the Institute after passing the Executive or Professional Programme or under the guidance of a Company Secretary in Practice. After completing required qualifications they can become member of ICSI.


Where do I get the Job?

A qualified company secretary has job opportunities in companies. There are some rules which requires the appointment of a company secretary in companies. Companies with paid up share capital of Rs. 2 crores or more and all companies seeking listing on Stock Exchange are required to appoint a whole time Company Secretary who is a member of ICSI.

A company secretary can start self-practicing (independent practicing) after obtaining ‘Certificate of Practice’ from ICSI. A qualified CS are also eligible for teaching posts in commerce and management fields. So a career as company secretary gives much opportunities.
